These Terms and Conditions ("Agreement") govern your use of Roof Ape's website, marketing services, software, and any content, tools, or materials provided. By accessing or using any part of our platform, you agree to be bound by these terms. If you do not agree, please discontinue use immediately.

1. Definitions

• "Client" refers to any business, user, or visitor engaging Roof Ape for services.
• "Roof Ape" refers to the company, its employees, officers, and digital assets.
• "Deliverables" refers to websites, campaigns, automations, graphics, ads, or other creative products delivered as part of a contract or service.

2. Scope of Services

Roof Ape provides digital marketing services including but not limited to: lead generation, website development, CRM automation, email/SMS setup, search engine optimization (SEO), advertising management, funnel builds, and marketing consulting. All services are customized per client agreement or package selected.

We reserve the right to adjust our service offerings at any time without notice.

3. Payment Terms

• All services require upfront payment unless a custom contract states otherwise.
• Monthly packages are billed on a recurring basis and renew automatically unless canceled with 7-day notice.
• Late payments may result in paused campaigns or discontinued access to services until the balance is cleared.
• No refunds will be issued for completed work, strategy sessions, digital assets, or ongoing monthly services once the billing cycle has begun.

4. Intellectual Property

Unless otherwise agreed in writing, all creative assets, campaigns, website builds, and automations created by Roof Ape remain our intellectual property until the contract is fully paid and the account is in good standing.

• Clients may not resell, redistribute, or reuse assets outside of their business without written permission.
• Templates, frameworks, automations, and systems used in client accounts may also be used across other clients unless an exclusivity agreement is purchased.

5. Performance Disclaimer

We do not guarantee specific results or revenue increases. Marketing performance depends on many variables including offer quality, market demand, budget, sales follow-up, and competition. While we implement proven strategies, client results may vary.

Any projections, testimonials, or case studies presented are for educational and illustrative purposes only.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary strategies, scripts, trade secrets, and internal materials. This includes but is not limited to lead data, creative campaigns, ad copy, and platform strategies.

Roof Ape agrees not to disclose any private business or financial information shared by the client outside of the scope of services.

7. Termination

Roof Ape reserves the right to terminate a contract or service at any time for:

• Non-payment
• Repeated late payments or billing disputes
• Misuse of systems or violation of ethical standards
• Client behavior that threatens our team’s safety or professionalism

In such cases, services will be discontinued immediately and no further support will be provided.

8. Refunds & Cancellation

Due to the nature of digital service delivery, we do not offer refunds for any completed work, custom campaigns, or hours already performed. Canceling a monthly service does not entitle the client to a refund for the current billing cycle.

Clients may cancel monthly services by submitting a written request to [email protected] at least 7 days before the next billing cycle.

9. Limitation of Liability

Roof Ape is not liable for:

• Downtime of third-party platforms (Google, Facebook, GHL, etc.)
• Lost profits, revenue, or opportunity due to user error, missed appointments, or poor follow-up
• Data loss caused by user-side misconfiguration or deletion
• Delays due to client-side content requests or approval delays

10. Use of Testimonials and Feedback

Roof Ape reserves the right to use screenshots, analytics results, performance reviews, and client feedback for promotional purposes unless explicitly requested otherwise in writing. We will always protect sensitive data and blur identifying information when necessary.

11. Legal Disputes

This Agreement is governed by the laws of the State of Arizona, United States. Any disputes shall be settled in the jurisdiction of Maricopa County, Arizona.

Clients agree not to file chargebacks, public defamation, or initiate arbitration before contacting Roof Ape to resolve concerns in good faith.

12. Independent Contractor

Roof Ape operates as an independent contractor. Nothing in this agreement shall be construed to create a partnership, joint venture, or employment relationship between Roof Ape and the client or their business.

13. Client Responsibilities

• Provide prompt approvals, feedback, and requested content
• Respond to project communications in a timely manner
• Maintain a working understanding of their business goals
• Use all systems and tools in good faith and with integrity

14. Modifications to Agreement

Roof Ape reserves the right to modify these terms at any time. All changes will be posted on this page with an updated effective date. Continued use of our services indicates acceptance of these changes.
